Scope of Services
- Target company and project due diligence
- Investment and financing path selection and plan design
- Drafting and negotiation of SPA, JVA, IA, financing agreements and all relevant transaction documents
- Drafting and negotiation of PPA or other offtake agreements, EPC and O&M agreements
- Assisting in processing outbound and inbound approval procedures (investment approval/filing, merger control filing, national ssecurity review, foreign government subsidy review etc.)
- Assisting in formulation of articles of association, closing and change of registration, and taking over of corporate management
